Howard Lee serves as a member of our Board of Directors. Based on information provided by each director nominee and director concerning his or her background, employment and affiliations, our Board of Directors has determined that Dr. Lee does not have a relationship that would interfere with the exercise of independent judgment in carrying out the responsibilities of a director and that he is independent as that term is defined under the listing standards of Nasdaq. Dr. Lee serves on our audit committee and our nominating and corporate governance committee.
