Tonit M. Calaway has served as the Executive Vice President, Chief Administrative Officer, General Counsel and Secretary of BorgWarner Inc. since October 2020. Prior to that, Ms. Calaway served as Executive Vice President, Chief Legal Officer and Secretary of BorgWarner from 2018 and from 2016 through 2018 as Executive Vice President and Chief Human Resources Officer of BorgWarner. Before joining BorgWarner in 2016, Ms. Calaway held various positions of increasing responsibility during her approximately 18-year career at Harley- Davidson, Inc., including Vice President of Human Resources and President of The Harley- Davidson Foundation. Ms. Calaway is a graduate of the University of Wisconsin Milwaukee and received her Juris Doctorate from the University of Chicago Law School. She is a member of the State Bar of Wisconsin. Although Ms. Calaway serves as an executive officer of a public company and serves on another public company board, she possesses significant skills, qualifications and experience as a public company General Counsel and Corporate Secretary and as the former head of Human Resources at two companies, which include leadership on issues relating to corporate governance, government relations, legal affairs and human capital management. In addition, her perfect attendance record over the past two fiscal years and her preparation for and contributions to meetings of the Board and the Corporate Governance and Nominating Committee and Management Development and Compensation Committee led the Board to conclude that her other responsibilities do not constitute any impediment to her ability to continue to devote sufficient time to effectively serve as a director. On the basis of this determination and her outstanding service to the Company since joining the Board in 2022, the Board determined that she should continue to serve as a director of the Company.
