Henry Samueli, Ph.D. serves as Chairman of the Board. Dr. Samueli is an independent director. Dr. Samueli co-founded Broadcom Corporation and received almost all of his Broadcom common stock pursuant to Broadcom's acquisition of Broadcom Corporation in February 2016. Dr. Samueli has been a long-term holder of Broadcom common stock. Since the acquisition of Broadcom Corporation in February 2016, Dr. Samueli has demonstrated a history of alignment with the long-term best interests of Broadcom and our stockholders. Upon a request by Dr. Samueli in fiscal 2024 to pledge shares of Broadcom common stock as collateral for loans, the NCG Committee and our Board carefully reviewed and approved a framework for Dr. Samueli to enter into a pledging arrangement that enables Dr. Samueli to access the funds necessary to pursue a development project called OCVIBE in Orange County, California.
