Mr. Profusek is a partner with Jones Day, a global law firm, where he serves as Global Chair of M&A. Joining Jones Day in 1975, Mr. Profusek has been recognized as one of the world s leading M&A and corporate governance lawyers. He has worked on hundreds of mergers, acquisitions and restructurings and has advised many boards and director committees on sensitive corporate governance matters. Mr. Profusek has served as an independent director of five public companies, presently serves as a member of the board of directors of Kodiak Sciences, Inc., (NASDAQ: KOD) a biopharmaceutical company specializing in therapeutics to treat chronic, high-prevalence ophthalmic diseases, and currently serves as its Lead Independent Director, Chair of the Nominating and Corporate Governance Committee and as a member of the Compensation Committee. He served as a member of the Board of Directors of Valero Energy from 2005 to 2025 and its Lead Independent Director from 2015 to 2025.
