Derek Kan was nominated by our Board of Directors to serve as a director in April 2026. From December 2020 until its acquisition by Shopify Inc. in July 2022, Mr. Kan served as Chief Business Officer at Deliverr, Inc., a technology -enabled e -commerce fulfillment platform. Following the acquisition, he served as Vice President of Business Operations at Shopify. Previously, Mr. Kan held senior positions in the U.S. federal government, including Deputy Director of the White House Office of Management and Budget from June 2019 through December 2020, where he oversaw government -wide technology modernization and federal IT security posture, and Under Secretary for Policy at the U.S. Department of Transportation from June 2017 through July 2019, where he oversaw a portfolio of 2,000 staff and a $3 billion budget, including policy governing connected and autonomous vehicles and cybersecurity for networked transportation infrastructure. Mr. Kan also co -led the interagency design and deployment of the nation s COVID -19 economic response, coordinating across Treasury, SBA, and the Federal Reserve. Mr. Kan currently serves as Vice Chairman of the United States Postal Service Board of Governors. Prior to his federal service, Mr. Kan served as General Manager for Lyft in Southern California. Earlier in his career, Mr. Kan served as Chief Economic Policy Advisor to U.S. Senate Majority Leader during the 2008 financial crisis and was a Presidential Management Fellow at the White House Office of Management and Budget. Mr. Kan currently serves on the boards of directors of Toll Brothers, Inc., a luxury homebuilding company, as a member of the Audit and Risk Committee with oversight of cybersecurity risk and enterprise risk management, Globe Life Inc., an insurance company, as a member of the Audit Committee, and Oklo Inc., an advanced nuclear technology company. Mr. Kan previously served on the board of Amtrak as a member of the Audit Committee. Mr. Kan holds a B.S. in Business Administration from the University of Southern California, a M.S. in Economic History from the London School of Economics, and an M.B.A. from the Stanford Graduate School of Business, where he was named an Arjay Miller Scholar and Arbuckle Leadership Fellow. Mr. Kan has extensive experience in technology leadership, having built and scaled technology platforms at Deliverr and Shopify, and in cybersecurity policy from his senior positions in the U.S. federal government, where he oversaw federal IT security posture and directed policy governing networked transportation infrastructure. Mr. Kan also brings significant board governance experience, including cybersecurity risk oversight at public companies.
