Dr. Ramchand is a member of the Finance, Risk Management and Audit Committee. The members of the Finance, Risk Management and Audit Committee currently are Ms. Masterson, who serves as chairperson, Mr. Lumelleau, Mr. Morphy, and Dr. Ramchand. The Board has determined that each member of the Finance, Risk Management and Audit Committee is an audit committee financial expert as such term is defined in Item 401(h) of Regulation S-K promulgated by the SEC.
