Robert D. Wiley served as Chief Financial Officer of the Company. Mr. Wiley resigned as Chief Financial Officer on September 19, 2024. Under the terms of his employment agreement, Mr. Wiley was eligible to receive an annual cash performance bonus in an amount up to 20% of his annual base salary, to be issued at the sole discretion of the Board. Mr. Wiley was entitled to receive 100,000 shares of Common Stock on an annual basis, granted in equal installments following the end of each calendar quarter, subject to continued employment. His base salary for fiscal 2025 was set at $325,000.
