Donald L. Hawks III, 50, has served as a director of the Company since 2014 and was appointed to serve as the Chairman of the Board in February 2020. He has served as the President and as a Managing Director of Brookside Equity Partners LLC since its formation in 2012. He is a director of multiple private companies, including Cash Management Solutions Limited. He serves on the Investment Committee of the Rockefeller Family Fund and is a Board Member of the Fresh Air Fund. Mr. Hawks received his undergraduate degree from Georgetown University and his Masters in Business Administration from The Wharton School at the University of Pennsylvania. Mr. Hawks was appointed to the Board in 2014 in connection with the Company s entry into the Series D Preferred Stock Investors Rights and Stockholders Agreement (as amended, the Series D Agreement ) and, pursuant to the terms of the Series D Agreement, was appointed as a Class III director immediately prior to the consummation of our initial public offering (our IPO ) in May 2020. We believe Mr. Hawks extensive business experience, including as an investor in and advisor to several companies, qualifies him to serve on our Board.
