Robert Wiesenthal serves as Non-Executive Chairman of the Board of Directors and Former CEO. In August 2025, as part of the consideration and approval of the sale of the passenger business and approval of our CEO succession plan, the Board elected Robert Wiesenthal, our former CEO, to serve as Non-Executive Chairman. Pursuant to the terms of the Transition Agreement, Mr. Wiesenthal was appointed as our Non-Executive Chairman and will continue to serve as a member of the Board and as its Non-Executive Chairman until he voluntarily resigns or is removed from such positions in accordance with the Company's governance documents and applicable law. The Transition Agreement further provides that if at any time his beneficial ownership of our common stock drops below 5%, the Board may request that he tender his resignation as Non-Executive Chairman and if his beneficial ownership drops below 5% at any time prior to February 28, 2027 (the 18-month anniversary of the sale of the passenger business), the Board may request that Mr. Wiesenthal tender his resignation as a member of the Board. Mr. Wiesenthal was determined not to be independent due to his prior service as our Chief Executive Officer.
